  1. ACCEPTANCE OF TERMS

    Service is provided by Conference Talk Unlimited (CVL). By using our service, you agree to be bound by the following terms and conditions ("Terms of Service") and CVL's Privacy Policy. Any of these terms and conditions may be updated from time to time without notice to you. If you do not agree to any of these terms and conditions, then please do not use the CVL Service.

  2. THE SERVICE

    These Terms of Service apply to all users of the Service, including users who are also contributors of content, information, and other materials or services through the Service. CVL assumes no responsibility for the content, privacy policies, or practices of any third-party products or services provided by third-parties through the Service, nor do we warrant, guarantee or make any promises regarding the nature of any contents, statements or representations made by content providers.

    CVL reserves the right to modify or discontinue any aspect of the Service at any time and from time to time, with or without notice. You agree that CVL shall not be liable to you or to any third party for modification, suspension or discontinuance of the Service.

  3. PERMISSION TO USE THE SERVICE

    CVL hereby grants you permission to use the Service as set forth in these Terms of Service, provided that: (i) your use of the Service as permitted is solely for your personal, non-Commercial use unless you have singed a Reseller Agreement with CVL, (ii) you will not copy or distribute any part of the Service in any medium without CVL's prior written authorization, and (iii) you will otherwise comply with the terms and conditions of these Terms of Service.

    CVL does not endorse any of the statements, content, opinions, recommendations, or advice expressed through the Service by any party, and CVL expressly disclaims any and all liability in connection with such.

    You understand that when using the Service, you will be exposed to conversations or recorded messages from a variety of sources, and that CVL is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such content. You further understand and acknowledge that you may be exposed to conversations or recorded messages left by others that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against CVL with respect thereto, and agree to indemnify and hold CVL, its Owners/Operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the Service.

    You understand that when using the Service, you may participate in a live discussion, conversation or the like which may or may not be moderated by a Monitor. CVL abides by the federal Digital Millennium Copyright Act (DMCA) by responding to notices of alleged infringement that comply with the DMCA and other applicable laws. As part of CVL's response, it may remove or disable access to material residing on the Service that is controlled or operated by CVL that is claimed to be infringing, in which case CVL will make a good-faith attempt to contact the entity that submitted the material so that they have the opportunity to provide a counter notification, also in accordance with the DMCA.

  4. YOUR USE OF THE SERVICE

    You agree not to:

    1. use the Service for any commercial solicitation purposes other than if you have our express, written agreement. You further agree not to solicit, for commercial purposes, any users of the Service unless expressly authorized by CVL. CVL reserves the right to bar any such activity;
    2. attempt to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service or, by any other illegitimate means. You may not probe, scan or test the vulnerability of the Service or any network connected to the Service, nor breach the security or authentication measures on the Service or any network connected to the Service. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Service, or any other customer of CVL, including any CVL account not owned by you, to its source, or exploit the Service or any service or information made available or offered by or through the Service, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Service;
    3. take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Service or CVL?s systems or networks, or any systems or networks connected to the Service or to CVL. You agree not to use any means to interfere or attempt to interfere with the proper working of the Service or any transaction being conducted on the Service, or with any other person?s use of the Service;
    4. upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
    5. disrupt the normal flow of dialogue, or otherwise act in a manner that negatively affects other users' ability to engage in real-time exchanges;
    6. interfere with or disrupt the Service or servers or networks connected to the Service;
    7. disobey any requirements, procedures, policies or regulations of networks connected to the Service;
    8. intentionally or unintentionally violate any applicable local, state, national or international law;
    9. use the Service for any unsolicited or unauthorized advertising, promotional materials, "pyramid or other schemes," or any other such form of solicitation;
    10. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity;
    11. provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
    12. use the Service to harm minors in any way;
    13. "stalk" or otherwise harass another;
    14. use the Service for any purpose that is unlawful or prohibited by these Terms of Service, including but not limited to any purpose that is harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
    15. solicit the performance of any illegal activity or other activity which infringes the rights of CVL or others; and/or
    16. collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs a through q above;

  5. NO RESALE OF SERVICE

    You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service (including your CVL username, password, PIN or account), use of the Service, or access to the Service.

  6. INDEMNITY

    You agree to indemnify and hold CVL, its parent corporation, its subsidiaries, affiliates, officers, directors, agents, employees, partners and licensors harmless from any claim, damages, obligations, losses, liabilities, costs or debt, expenses or demands, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, transmit or otherwise make available through the Service, your use of the Service, your connection to the Service, your violation of the Terms of Service, or your violation of any rights of another.

  7. WARRANTY DISCLAIMER

    YOU AGREE THAT YOUR USE OF THE CVL SERVICE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, CVL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF. CVL MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SERVICE CONTENT OR THE CONTENT OF AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (a) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (b) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE, (c) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE, (d) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE. CVL DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE OR OTHER ADVERTISING, AND CVL WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

  8. LIMITATION OF LIABILITY

    IN NO EVENT SHALL CVL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE, AND/OR (IV) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

    YOU SPECIFICALLY ACKNOWLEDGE THAT CVL SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

    The Service is controlled and offered by CVL from its facilities and/or its partners facilities in the United States of America. CVL makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

  9. ABILITY TO ACCEPT THE TERMS

    You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. In any case, you affirm that you are over the age of 13.

  10. GENERAL

    Entire Agreement. These Terms of Service constitute the entire agreement between you and CVL and govern your use of the Service, superseding any prior agreements between you and CVL with respect to the Service. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other CVL services, affiliate services, affiliate products, or third-party content.

    Choice of Law and Forum. These Terms of Service and the relationship between you and CVL shall be governed by the laws of the State of Maryland without regard to its conflict of law provisions. You and CVL agree to submit to the personal and exclusive jurisdiction of the courts located within Baltimore City, Maryland.

    Waiver and Severability of Terms. The failure of CVL to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of the Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Service remain in full force and effect.

    Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Terms of Service must be filed within one year after such claim or cause of action arose or be forever barred.
